Position: Individual Transaction Advisor

Job Description:

The Government of Balochistan is seeking an experienced Individual Transaction Advisor to provide professional advisory services for the establishment of Bolan Insurance Company Limited (BICL). The advisor will support the government in transaction structuring, negotiations, legal documentation, regulatory compliance, and finalization of PPP/concession-related agreements.

The consultant will work with the Finance Department and Negotiation Committee to ensure a transparent, legally compliant, and financially sustainable transaction process.

Key Responsibilities:

Transaction Advisory & Negotiation Support:

  • Provide expert advice during negotiations with private sector/JV partners.

  • Prepare negotiation briefs, analysis notes, and transaction documents.

  • Review commercial, legal, regulatory, and financial aspects.

  • Support government decision-making during PPP/concession negotiations.

Documentation & Agreement Finalization:

  • Draft and review:

    • PPP/Concession Agreements

    • Shareholders’ Agreements

    • Service Level Agreements

    • Governance documents

    • Premium pricing and financial frameworks

  • Ensure documents protect government interests.

Regulatory & Compliance Advisory:

  • Provide guidance on:

    • Insurance regulations

    • SECP requirements

    • Corporate governance

    • PPP and procurement frameworks

  • Assist in required regulatory filings and approvals.

Financial & Market Assessment:

  • Analyze premium pricing structures.

  • Review commercial sustainability.

  • Assess market risks and recommend safeguards.

  • Develop risk allocation and mitigation strategies.

Eligibility Criteria:

Qualification:

  • Advanced degree in:

    • Economics

    • Law

    • Finance

    • Business Administration

    • Public Policy

    • Related disciplines

Preferred:

  • Professional certifications such as ACCA, CA, CFA, LLB/LLM or equivalent.

Experience:

  • Minimum 15 years of relevant professional experience.

  • Experience in:

    • PPP/concession advisory

    • Insurance sector

    • Financial transactions

    • Government advisory projects

    • Regulatory compliance
